According to the relevant laws and regulations of the state, in order to clarify the rights, obligations and responsibilities of both parties and safeguard the rights and interests of both parties, the design, supply, shipment, construction and installation of interior decoration drawings of the Yuyao Shanshui Yishu Comprehensive Building Project shall be carried out through friendly negotiation between the parties. , maintenance and other matters entered into this contract. Both parties promised to fully implement all the terms of the contract.
Article 1 Project Overview 1. Project name: (hereinafter referred to as the project).

The second project scope I. Engineering design
1. Within three days from the signing date of the contract, Party A shall provide Party B with the “Construction Drawings for Comprehensive Buildings” (this map shall meet the requirements for the application for review), and Party B shall issue a receipt in a signed manner.
2. Within 20 days after Party B receives the “Building Map of Comprehensive Building”: Party B completes and submits the “Interior Decoration Drawing” to Party A on the basis of “Building Map of Comprehensive Building” and “Interior Decoration Effect Diagram”. It is necessary to sign and issue a receipt. If Party A disagrees with the "Interior Decoration Construction Drawing", it shall submit a written request to Party B within 3 days after the receipt. If there is no objection, Party A shall sign and confirm the "Interior Decoration Construction Drawing."
3. This "Interior Decoration Construction Drawing" is supplemented as Annex 2 of this contract. Party B will perform the construction according to this drawing.
4. Party B provides the “quotas configuration list” according to “Interior Decoration Construction Drawing” confirmed by Party A, and is added as Annex 4 of this contract.
2. Project management includes, but is not limited to, the construction and management of interior decoration design, material shipment, interior decoration construction, and installation of the project (including maintenance after completion of the project).
Third, materials and equipment procurement
1. The materials required in the scope of the project shall be purchased and provided by Party B in addition to those specified in the “Material Equipment Configuration Table” attached to this contract. The main materials purchased by Party B shall be sealed in accordance with Party A's written request. Sample sealing method: According to the order of materials in “Material Equipment Configuration Table”, Party B shall cut the sample and fix it on a five-ply plate with a width of about 600×length and 1 000 mm, and submit it to Party A for preservation. Party A may seal the sample. Take pictures and keep them for future reference.
2. Party B must strictly follow the “Material Equipment Configuration Table” confirmed by Party A’s signature (see Attachment 3 of the contract for details) and Party A’s seal samples for procurement. Material model photographs (closed sample sheets) shall be confirmed by both Party B and Party B in writing. Become an attachment to this contract. Due to market reasons, a certain material or equipment cannot be purchased on time. Party B shall promptly notify Party A in writing. Party A shall send Party B a “Material Adjustment Notice” within two days after receiving Party B's written notification. Party B must rely on this material. The "adjustment notice" will replace or replace the material with other materials of the same grade; if Party A fails to provide a written reply within 7 days, Party A may agree that Party A agrees to the contents of written notice.
3. The raw materials, semi-finished products, etc. entered by Party B must also provide the list of raw materials, the original certificate of material products, and the original quality assurance certificate. If you have imported materials or equipment, you must provide the originals of the customs, commodity inspection documents, and certificate of origin. After Party A's acceptance, you can proceed with the construction. Otherwise, Party A can suspend the payment and will not be liable for the breach of the overdue payment, Party B’s The duration of the project will not be postponed.
4. Installation and Construction (1) Party B's construction scope includes the interior decoration, equipment and installation of the project. The construction details are shown on the construction drawings confirmed by Party A (see Attachment I to the contract for details). List of Quotation Configurations (See Attachment 4 to the Contract for details) Prevail, drawings and drawings are sorted by drawings.
(2) After Party B's main structure is completed and Party B meets the following entry conditions, Party B will enter the site for construction:
1 The main structure of the project has passed the acceptance of the Party A structure and meets the relevant construction project quality acceptance standards;
2 Party A provides on-site temporary facilities, and related facilities and other expenses are borne by Party B.

If there is no entry condition, Party B may not sign the "Starting Report".

VIII. The ICAC Convention (Annex VII)
Article 4 Contract Duration I. Commencement Date: August 10, 2010, Completion Date: It is estimated that December 9, 2010, the total number of calendar days of the contract [122] days. The specific start time is based on the “Starting Report” signed by Party A, the Supervisor, and Party B. The completion time is based on the contents of the contract and Party B completes the project, subject to acceptance conditions.
Second, the specific duration of the agreement is as follows: The construction period of the first floor lobby and the first floor of the men's and women's toilet area is 58 days; part of the construction period of the rest of the area is 122 days.
3. Party A shall notify Party B in writing 15 days in advance to receive the site. Party B shall receive the construction site on the stipulated date of the written notice and shall immediately carry out the construction and installation of this contractual project.
4. If one of the following circumstances of this project is confirmed by Party A's signature, the duration shall be extended accordingly:
1. Party A cannot provide the construction site on time. The water, electricity and roads cannot be connected, and obstacles cannot be cleared, which affects Party B's approach to construction;
2. Party A failed to complete the structure construction of the clubhouse on time, or the structure of the clubhouse provided by Party A did not have the conditions for interior decoration;
3. Party A fails to pay the progress of the project according to the stipulations in the contract, which will affect the construction or installation of Party B;
4. After the design plan and the bill of materials have been signed by Party A, it is also due to Party A's request for design changes, which will affect the progress of the project;
5. In the construction, if the non-Party B factors do not meet the national requirements for construction conditions and need to adjust the construction period, the two parties can extend the agreement after entering into a supplementary contract.
6. Party A did not confirm Party B’s reasons and signed Party A’s contract, which affected the construction of the next procedure.
7. Man-made irresistible factors delay the construction period, but Party B should promptly notify Party A;
Due to the above reasons, the project will be delayed. Party B must submit a written notice of the extension of the project deadline to Party A within 3 days after the related situation occurs. The duration of the project can be postponed after Party A's signature is confirmed. If Party A has any objection, it shall be in the signature file. Clearly and specifically stated; if Party B fails to submit a written notice on time, it will lose the right to extend the time limit; if Party A fails to confirm it on time, or does not expressly object, it shall be deemed to have admitted or defaulted Party B's written notice.
Article 5 Quality of the Project 1. Party B shall ensure that the quality of the project meets the current national acceptance standards for construction, installation engineering and wood structure acceptance, construction operating procedures and quality acceptance standards, and guarantees one-time acceptance.

2. Party B shall be fully responsible for all site operations, construction methods and the completeness, safety, and project quality of the completed project. Acceptance of concealed projects must be confirmed by Party A and the supervisor in writing before proceeding with the next process.
Article 6 Performance Guarantee 1. The guarantee method of this contract is the performance guarantee. Party B shall issue a performance bond in accordance with the amount of 10% of the contract price (tentative pricing) and submit it to Party A within 15 days after the date of the contract. If Party B fails to submit the performance guarantee on time, Party A may directly deduct the amount equal to the amount of unpaid project due.
2. The amount of the above-mentioned performance letter includes the project quality performance bond [40]%, period performance bond [40]%, safe and civilized construction performance bond [10]%, managerial personnel and mechanical equipment in place performance bond [10]%. If Party B has a breach of contract, Party A may deduct from the amount guaranteed by the performance bond, the breach of contract shall bear the breach of contract damages from Party B.
III. Within 30 days after completion and acceptance of this contracted project has been completed and the engineering and engineering technical data have been delivered to Party A according to regulations, the performance guarantee shall be released.
Article 7 Contract Settlement A. This project adopts a fixed integrated unit price contract form (consolidation unit price per square meter of building area), including contractors, materials, machinery and equipment, quality of packages, safe production, and large-scale contracting methods for civilized construction. The total construction area of ​​the contract works is tentatively set at 2,403 square meters.
2. After the completion of acceptance of all contractual projects, the construction area of ​​all the projects in the contract shall be settled according to the as-built drawings confirmed by both parties' signatures in writing. According to the "Code for the Calculation of Construction Area of ​​Construction Projects" (GB/T50353-2005), settlement shall be made on a real basis. .
3. The contract amount includes the price for the scope of work specified in Article 2 of this contract, that is, the total contract price = fixed integrated unit price × settlement floor area. If Party A asks for replacement of different products or changes the contents of the construction project, it shall be submitted by Party B according to the on-site written visas of both parties, in accordance with the artificial, mechanical, and unit rates approved by Party A and the corresponding accounting rates, in accordance with the bid prices. The consumption of the "Zhejiang Construction Project Budget Quota" (2003 version) is reconstructed into a fixed comprehensive unit price, which is confirmed by Party A's examination and entered into settlement.
4. The fixed integrated unit price for the indoor part of the project (including central air conditioning equipment, fresh air system, etc.) is ¥3 500_yuan/square meter, and the tentative total price of this contract is ¥_8 410 500 yuan. Yuan Zheng). The price of this contract includes the design, supply, shipment, construction, installation, pre-buried and maintenance of kitchen equipment and water and electricity pipelines. Without the prior written consent of Party A, the fixed consolidated unit price of this contract project will not be adjusted.
Article 8 Payment Means I. First payment: Within 15 days after the signing of the contract, Party A shall use 30% of the provisional total price in accordance with paragraph 4 of Article 7 as the project advance payment.
Second, the second payment: Party B completes the concealment project and within 20 days after the acceptance by Party A, Party A shall pay Party B the 30% of the tentative total amount of the contract.
Third, the third payment: After Party B completes the interior decoration project and equipment installation, and within 20 days after acceptance by Party A, Party A shall pay Party B the 30% of the tentative total amount of the contract.
Fourth, the fourth payment: The project under this contract is completed and accepted, and is handed over to Party A. At the same time, the original engineering technical data is submitted to Party A according to the contract. The project settlement document is signed by Party A and Party B. Within 20 days after the confirmation of the chapter, Party A pays Party B to 97% of the settlement price.
V. The fifth payment: Within 20 workdays after the full implementation of the “House Construction Quality Warranty Agreement” in the appendix, payment shall be made to 100% of the settlement price. The specific payment methods are detailed in Annex 5.
6. Before each payment, Party B shall deliver to Party A the legal and valid tax invoice of the corresponding amount. Otherwise, Party A may refuse to pay, and shall not be liable for the breach of the overdue payment. Party B's construction period shall not be postponed.
Article 9 Rights and Obligations of Party A 1. Party A shall appoint **** as the representative of Party A's management personnel, exercise Party A's rights as stipulated in the contract, and fulfill Party A's obligations.
2. The construction organization design approved by Party A in written form and Party A's written instructions and requirements shall be organized and implemented by the Party B project manager.
Third, the designation of the on-site identification of the site shall be entirely based on Party A's logo, and Party B shall actively cooperate with it.
4. Only the power and water sources within 50 meters from the construction site of Party B are required for the construction of the project. The construction water, electricity and communication lines required for the project and related costs shall be provided by Party B. Meanwhile, the Items shall be measured separately by Party B and the expenses shall be borne. If the meter is damaged and the meter cannot be metered, then Party B's water and electricity expenses shall be measured in accordance with the quota standard specified in this contract, and the unit price shall be calculated according to the market price during the same period.
Fifth, responsible for providing the main structure of the building plans, structural drawings, water supply and drainage, electrical construction drawings.
VI. Responsible for providing temporary facilities for the construction of the project, site construction materials and other places, A and B parties to negotiate settlement to ensure that the construction site has the construction conditions. The temporary construction facilities and construction material dumping sites required during construction shall be erected by Party B after obtaining the consent of Party A or its authorized organization (or personnel), whether within or outside the construction site. .
7. Payment shall be made in time according to the payment conditions stipulated in the contract.
8. To ensure the accuracy of the information and information provided in the scope of the project, Party A shall guarantee that the construction road and site will not affect the normal construction of Party B.
IX. Responsible for ensuring that the on-site construction period of Party B is not restricted.
10. Responsible for obtaining the administrative approval documents and approval procedures required for the commencement of the project, handling all government-related procedures in the project construction process, and being responsible for the completion data of the project's main structure; if it is necessary to submit relevant information to the government department, Can ask Party B for assistance.
11. To handle all the formalities for the application for review and approval of the construction drawings of this contract, Party B shall cooperate with Party A to handle the matter. The total package management cooperation fee and other corresponding expenses shall be borne by Party A.
XII. Responsible for submitting the inspection formalities to the relevant government departments after completion of the contract project, and Party B shall provide the original file information in a timely manner.
Article 10 Rights and Obligations of Party B 1. Party B shall appoint *** as the project manager of Party B, represent the rights of Party B agreed upon in the contract, perform the responsibilities of Party B as stipulated in the contract, and any instructions given to the project manager of Party B shall be deemed to be effectively conveyed to Party B.
2. If Party B submits a written report to Party A on the important work in the development and construction of the project, and Party A fails to provide a written reply within 5 working days, Party B may consider Party A's consent to the proposal in Party B's written report and do so accordingly. Decision.
3. In case of emergency and failure to contact Party A's management personnel, Party B may take emergency measures to ensure the safety of the project and personnel's life and property, and send a written report to the management of Party A within 24 hours after taking the measure. .
4. After the completion of each subproject of the project, Party B shall apply to Party A for inspection in written form. After acceptance, Party B shall perform the next procedure; if Party A does not organize acceptance within 7 working days after receiving the application, or If Party A does not re-inspect the application for written objection to the application for inspection documents, it shall be deemed that the project of the division is qualified by default, and Party B may perform the next procedure.
V. To confirm the construction conditions provided by Party A, if it is found to be inconsistent with the conditions stipulated in the contract documents, it shall promptly report to Party A in writing to ensure that the project will proceed as scheduled.
6. Take full responsibility for the relevant construction methods, construction techniques and construction safety of this project. The responsibility for construction failure shall not be shirked to Party A for any technical or non-technical reasons (except for Party A); at the same time, Party B shall bear all costs incurred due to rework due to Party B's construction mistakes.
VII. Strengthen the construction site management and take safety precautions. If any personal injury or other accident occurs during construction due to its own management, Party B shall be responsible for handling and taking responsibility.
VIII. All Party A's management systems must be followed. Construction activities shall be carried out within the prescribed scope. Party B shall be responsible for any losses, damages, or claims caused by Party B's improper construction to Party A or any third party.
IX. Before the contract works have been handed over to Party A in writing, Party B shall be responsible for the protection of all its own products and finished products at the construction site.
X. The project manager of Party B shall inform Party A of the progress of the project on a weekly basis in the form of a project brief. The opinions formed shall be signed and confirmed by Party A's management personnel and Party B's project manager.
11. After all the projects are completed, Party B shall notify Party A in writing of acceptance and be responsible for providing Party A with relevant archives. All inspection procedures shall be handled by Party A.
XII. Party B shall be responsible for Party B's on-site management personnel and workers' accommodations and wages, subsidies and other related expenses.
XIII. Safe Production, Civilized Construction Requirements:
1. Implement the principle of "who works and who is responsible for" safe production.
2, must obey the safety management regulations of Party A's construction site, accept Party A's safety inspection, supervision and punishment.
3. It is imperative to seriously implement the regulations concerning civilized construction of the local government, cooperate with Party A in civilized construction on the construction site, and accept Party A's management.
4. One year or so after the acceptance of the project, complete a repair work on the interior decoration surface.
14. Project members who need to designate this project include project managers and other managers and technicians. The list of aforementioned persons shall be provided to Party A in written form within 7 days before the official commencement of work.
15. In principle, the project members cannot be changed; but if there are special circumstances that need to be changed, Party A should notify Party A 7 days in advance of the change and agree with Party A's written approval. The successor continues to assume the responsibilities of his predecessors.
Article 11 Project Completion and Project Warranty 1. The project acceptance conditions are as follows: Party B shall complete all the construction contents within the scope of the construction drawing, the “Quotation Configuration List”, etc., and the appearance effect shall conform to the interior decoration effect diagram of Annex 1. The work of each division has been completed according to the design requirements. The technical indicators meet the national regulatory requirements; technical documents, engineering and technical files, test and completion data are complete, and maintenance tools, instruments, and maintenance spare parts are complete. At the same time, Party B shall deliver to Party A the acceptance report in accordance with regulations and attach all relevant engineering and technical data. Party A shall accept and accept the project within 15 working days. If the project is accepted, the two parties shall sign the "Project Acceptance Checklist". The project that has not signed the "Project Acceptance Checklist" shall be regarded as a non-conforming project. Party B shall complete all the rectification within 20 working days from the acceptance date. And re-acceptance according to the agreement, the duration will not be postponed.
2. If the project is qualified for acceptance, Party B shall, within 15 working days from the acceptance date, hand over the original project completion data to Party A. The completion data of the project will be stamped with the “Completion Data” stamp and will be officially completed.
3. For any damage caused by the materials provided by Party B or the quality of the construction or installation of the project, Party B must, after the completion of acceptance, provide warranty, repair, or replacement free of charge within the period specified by the relevant state laws. Please refer to the attachment for details. As the main structure of the deformation, cracking and other non-B Party responsible for damage caused by the decoration, Party B is not responsible for maintenance.
Article 12 Project Modifications and Settlement 1. The contract may not be changed or modified without prior written consent of both parties.
Second, due to design changes or Party A reasons for the increase or decrease in the amount of work or materials, both parties agree to deal with the following agreement:
1. Items that are the same as or similar to those in the “Quotation Configuration List” in Annex 4 of the contract, are priced according to the list items and settled on a real basis;
2. Items that are not the same as or not similar to the “quota configuration list” in the Annex 4 of the contract are submitted by Party B according to the manual, machinery, and the unit price of materials approved by Party A and the corresponding accrued rates according to the bid price. The consumption of the provincial construction project budget quota shall be reconstituted into a comprehensive unit price, which shall be verified by Party A to enter settlement.
III. After completion acceptance of the project, Party B will provide Party A with valid and complete settlement information in accordance with relevant regulations and contract (including but not limited to this contract, supplementary agreement, calculation draft, statement of account, various contact lists, completion acceptance And so on), Party A shall complete settlement audit within 3 months from the date of receipt of Party B's aforementioned settlement information.
4. This contract project has been submitted to any file of the urban construction archives department of the project site, and is only used for record purposes. Both parties shall not use this as the basis for the actual settlement of this contract.
Article 13 Liabilities for breach of contract 1. If Party B cannot complete the project within the time limit agreed in the second paragraph of Article 4 of this contract, Party B must bear Party B's overdue breach of contract payment. For each of the overdue days, within 30 days, Party B shall accumulatively pay liquidated damages in accordance with 0.5‰ of the tentative total price of the contract; if it exceeds 30 days, the overdue period will be 1 day, and Party B shall accumulate 1 in accordance with the provisional total price of the contract. Pay a penalty fee. Party B’s breach of contract can be deducted directly from its project payment.
2. If the construction and installation quality of Party B fails to meet the acceptance criteria specified in the contract or in the first paragraph of Article 5 of this contract, Party B shall be responsible for free rework and repair, and the construction period shall not be postponed. If the quality of the project has not been rectified, the contract can still not reach the contract. Under the agreement, Party B shall pay Party B a penalty of 10% of the tentative total price of the contract.
Third, in addition to professional equipment, security, cabinets, stone, doors, windows, decorative wood accessories and other conventional subcontracted items, without prior written consent of Party A, Party B shall not subcontract this contract project, subcontracting. Otherwise, Party A may notify Party B to terminate the contract and refuse to pay the project price for the subcontracting and subcontracting of part of the project by Party B. At the same time, Party B shall also bear Party B’s 20% of the tentative total price of the contract to bear the loss compensation amount to Party A. If Party B terminates the contract due to Party B's subcontracting or dismembering and subcontracting this contractual project, Party B’s construction materials, construction equipment and facilities shall all be evacuated from the construction site within 10 days from the date of receipt of Party A’s notice of cancellation of the contract. . Otherwise, Party A can be treated as free from any subject.
4. If Party A fails to pay the project payment or settlement money on time, it shall be liable to Party B to bear the overdue payment default penalty at the rate of 0.05% of the unpaid due amount.
5. This contract is a major trade secret between the two parties. The parties ensure that this contract will not be disclosed to any third party. If any of them causes losses to one of them, the leakage will be borne by the other party at 10% of the tentative total price of the contract. Liquidated damages.
Article XIV Force Majeure Factors During the performance of this contract, due to earthquakes, typhoons, floods, snowstorms, wars, strikes by workers in importing countries and other force majeure events that were unforeseen and their results could not be prevented or avoided, they directly affected the performance of this contract. If it fails to perform according to the agreed conditions, the party in case of force majeure shall notify the other party promptly after the occurrence of force majeure, and notify the other party of the circumstances and causes of force majeure occurring within 15 days from the date of force majeure, and it shall be accompanied by force majeure. The documents of the relevant authorities in the place of occurrence may be exempted from liability in case of force majeure. However, all parties shall endeavor to minimize the damage that may be caused by force majeure. If one party does not take the initiative to cooperate with the other to avoid possible losses caused by force majeure and allow the losses to expand, the negligence party should still bear the liability for compensation.
Article 15 Modification and Alteration of the Contract 1. Where a change in the quantity of a single work involves an increase in the amount of the project price of more than 50,000 (including this item), the two parties must sign a supplementary contract. The supplementary contract must be signed by the authorized representatives of both parties to the contract. Stamping this contract is effective. Otherwise, the relevant change data shall not be used as the basis for the final settlement of the parties.
2. Any amendments or changes made to this contract and its attachments shall be based on equal consultations between both parties and shall not take effect until after both parties sign a supplementary contract. Supplementary contract and this contract have the same legal effect. When the relevant clauses of this contract conflict with the provisions of the supplementary contract, the supplementary contract shall prevail.
Article 16 Dispute Settlement This contractual dispute shall be submitted to the people’s court that has jurisdiction over the location of the project. This agreement shall not be altered or withdrawn in any form.
Article 17 Data Validity, Service, Period, and Confidentiality I. Any written or electronic information related to this contract is not signed by the representative or attorney of this method, or is not affixed to a party. The seals in the contract (when using other seals, shall be confirmed in writing by both parties in advance) shall be null and void.
2. Any original written information relating to this contract shall be held by both parties. The contents of the original written material are inconsistent, and the inconsistent part is invalid.
3. Where there is written information relating to this contract and delivered to one party, the other party must issue a copy of the receipt in one copy, and the receipt shall be executed in duplicate.
4. Any written information or electronic information related to this document shall pass through the party's domicile, place of business, legal representative, authorized agent, telephone, fax, e-mail (hereinafter referred to as the contact information) as stated in this contract. 5. Where the sender expressly responds to the request for written information or electronic information relating to this contract and delivered to the other party, the receiving party shall reply within 10 working days after receiving the written information or electronic information. Housing construction quality warranty

一、工程质量保修范围和内容承包人在质量保修期内,按照有关法律、法规、规章的管理规定和双方约定,承担本工程质量保修责任。
质量保修范围包括屋面防水工程、有防水要求的卫生间、房间和外墙面的防渗漏,供热与供冷系统,电气管线、给排水管道、设备安装和装修工程,以及双方约定的其他项目。具体保修的内容,双方约定如下: / 。
二、质量保修期双方根据《建设工程质量管理条例》及有关规定,约定本工程的质量保修期如下:

三、质量保修责任
1、属于保修范围、内容的项目,承包人应当在接到保修通知之日起48小时内派人保修。承包人不在约定期限内派人保修或同一问题两次修理不好的,发包人可以委托他人修理,费用由承包人(保修单位)全部承担。
2、发生紧急抢修事故的,承包人在接到事故通知后,应当在六小时内到达事故现场抢修,否则发包人可以委托他人进行抢修,费用由承包人(保修单位)全部承担。
3、对于涉及结构安全的质量问题,应当按照《房屋建筑工程质量保修办法》的规定,立即向当地建设行政主管部门报告,采取安全防范措施;由原设计单位或者具有相应资质等级的设计单位提出保修方案,承包人实施保修。
4、质量保修完成后,由发包人组织验收。
四、保修费用
1、保修费用由造成质量缺陷的责任方承担;
2、承包人不及时进行维修或两次维修不好的,发包人另行委托他人维修,保修单位须承担全部维修费用(包括15%的管理费);
3、对于结构质量问题,承包人应根据客户要求委托专业单位进行安全鉴定及出具处理方案,并负责组织实施和承担费用;
4、对于由质量问题造成的客户索赔,应根据其实际损失或评估价值,承包人须视情况进行相应赔偿;
5、本工程的质量保修金为结算造价的3%,在工程保修期内,无质量事故不产生保修的按竣工验收合格之日起,满一年付清(不计利息)。如过程之中产生相应的质量事故,则按维修的金额在工程保修金中扣除,如费用超过工程保修金额时,发包人有权向承包人追偿。
五、其他双方约定的其他工程质量保修事项:在国家规定的保修期外,如承包人承建的工程出现质量问题系承包人偷工减料或使用不合格原材料、成品、半成品(不包括甲供材料)引起的,发包人有权无限期追溯,承包人承担由此所造成的一切经济损失。
本工程质量保修书,由施工合同发包人、承包人双方在竣工验收前共同签署,作为施工合同附件,其有效期限至保修期满。

附件六、关于设计变更、现场签证的办法一、设计变更及现场签证
1、设计变更和现场签证的原则:
1)联系单的计价原则,严格按照合同约定的计价方式计算费用,隐蔽工程的现场签证,双方在工程隐蔽之前核定;
2)联系单变更做到有据可依,涉及工程量变更或结构变动的附修改图;
2、现场签证及设计变更操作程序
1)现场签证由承包人提出,发包人工程部专业工程师受理。负责变更情况的陈述,对现场签证的陈述要求客观、准确,要求隐蔽签证以图纸为依据,表明被隐蔽的部位、质量完成情况,如果被隐蔽部位的工程量在图纸上不确定,还要求表明几何尺寸,并附简图。能够作为完整计算变更费用的依据。
2)发包人工程部专业工程师负责工程量计量,现场监理对签证的执行进行初审。
3)发包人工程部经理审核工程变更的必要性和经济性。
4)发包人成本控制部核定工程量和变更费用。
5)发包人相关部门按照发包人内部联系单审批流程和权限进行审核。
6)技术联系单和现场签证的签复意见,由发包人项目专业工程师根据审批意见填写,由发包人项目公司总经理和工程管理中心总监共同签字,盖章生效。
3 、现场签证单和设计变更单的预算编审原则
1)一单一算原则:为了便于对施工过程中的成本管理和控制,提高结算的审核效率,现场签证单和设计变更单原则上一单一算。对于无法算准的现场签证单和设计变更单,应先估价,待竣工结算时一并予以调整。
2)量价分离原则:发包人现场工程部只确认发生的工程量,计价由发包人成本控制部负责。
3)时间限制原则:对现场签证的办理严格按合同中约定的时间限制,严禁过后补办的做法。
4)权利限制原则:对现场签证管理实行严格的权限的规定,不在委托授权限范围内的签字一律无效。
4、 现场签证及设计变更的有效性:
现场签证及设计变更,需经发包人双签,监理、承包人三方共同签字,加盖发包人项目联系单专用章后生效。缺少任何一方都属于无效签证,不能作为结算依据。
5、设计变更及现场签证的价款计算时,应当执行以下三项原则。
1)合同中已有适用于变更工程的价格,应按已有价格计算变更费用。
2)合同中只有类似于变更工程的价格,可以参照此类价格计算变更费用。
3)合同中没有适用或类似于变更工程的价格,按本合同有关约定履行。


附件七廉政公约为了保证甲乙双方的共同利益,杜绝一切商业贿赂,让双方在“诚信负责”的原则下,发展正常的商业关系,长期合作,成为真正信赖的合作伙伴,甲乙双方在签订主合同的同时,签订本公约,作为合同附件。
一、本公约规定的商业贿赂是指在甲乙双方的商业活动中,乙方给予甲方职员任何形式的礼品、现金、有价证券、支付凭证或其他经济利益。
二、甲、乙双方都同意坚决拒绝索贿、行贿及其他不正当之交易行为。
三、乙方一旦收到甲方员工、雇员、代理人或关联公司以任何形式对其提出索要礼品、现金、有价证券、支付凭证或其他经济利益的要求,可立即向甲方举报,电话:****,传真号码:******;甲方一经查实,必将严厉处理,甲方为举报人保密。
四、在甲乙双方的商业活动中,乙方违反本公约,给予甲方职员、雇员、代理人或关联公司任何形式的礼品、现金、有价证券、支付凭证或其他经济利益的,甲方一经查实,甲方可以单方面解除合同,停止支付所有应支付乙方的款项,并向乙方索赔贿赂额十倍的金额作为违约金或在甲方应支付乙方的款项中扣除。对于乙方违反本公约的行为给甲方造成的一切损失由乙方负责赔偿。
五、乙方有上述商业贿赂行为的,甲方一经查实,甲方所属的**房产集团旗下的各关联公司今后不再与乙方发生任何经济关系,即不再与乙方从事任何商业经营活动。
六、本公约自甲乙双方签署之日起生效,与主合同具有同等法律效力。
